Terms of Use

This Term of Use Agreement ("Agreement") sets forth the legally binding conditions for your use of SPE online services. By using these services, you agree to be bound by this Agreement, as a registered member of SPE. At any time, modifications to this Agreement can be made. Any modifications will be posted and thus made effective and legally binding for SPE members participating in the Society's online services. Please review the Terms of Use Agreement carefully and often so you are aware of any modifications to conduct and conditions of use.

1. Content Conditions and Prohibitions

SPE's online member services respect and support the mission of the organization. It is a networking service for the communication of information and exchange of ideas related to photography and associated media. As a user, you agree to the following conditions of conduct, participation and contribution of any and all material, collectively known as Content:

  • Prohibition of any photography or language containing objectionable content, including but not exclusive of harassment, sexual exploitation, excessive violent or obscene subject matter;
  • Prohibition of any subject matter promoting racism, bigotry, hatred or harm of any kind against any group or individual;
  • Endorsing inaccurate, false or misleading information or content that may be considered as defamatory or libelous;
  • Endorsing or promoting any illegal activity, including unauthorized use or infringement of another entity or person's copyright;
  • Unlawful solicitation of member contact information or communication for any commercial purpose;
  • Unsolicited communication, emails, spamming, viruses or unapproved advertising;
  • Obscuring, modifying or reproducing any copyrighted material, trademarks, or any other proprietary information without prior written approval;
  • Posting any image or language without the consent of the authorized owner.

2. Right of Content on SPE Website

a. All members' postings made to the SPE website and its online services are the ownership of their author, including text, files, images, photographs, video, sounds, music and all other material collectively known as posted "Content". SPE does not claim or exert any ownership rights for aforementioned Content.

b. By posting to this website's online services you grant SPE limited license to use, display, reproduce and distribute your Content through its members' online services. This limited license effectively ends with the removal of your Content and/or the termination of your membership in SPE.

c. With acceptance of this Agreement, you represent and warrant that:

  • You own the content posted by you on SPE members' online service;
  • You have the right to grant the license described in this section;
  • Your Content does not violate the privacy rights, copyrights, or any other rights of any person;
  • You agree to pay for all royalties, fees, and any other monies owing any person by reason of any Content posted by you.

d. SPE may at any time and at its sole discretion restrict, reject and terminate any posted Content it deems inappropriate or not expressive of the high standards and values set out in the organization's mission or in this Agreement.

3. Disclaimers

a. SPE is not responsible for any posted Content by members, its accuracy or completeness. It is not responsible for the opinions expressed in posted content. This is the sole responsibility of the user posting Content.

b. SPE will not be responsible for any loss or damage to Content posted on or through its members' online services.

4. Limits to Liability and Indemnity

a. SPE will not be held liable to you or any third person for any indirect, consequential, attendant or punitive damages resulting directly or indirectly from participation or contribution of Content on or through is website services.

b. You agree to indemnify SPE, the organization, its website, officers, employees and partners harmless from any loss, liability, claim, or demand made by any third party due to your use of SPE website services, including posting of Content, misrepresentations, and breach of this Agreement.

5. Other

a. You approve and accept this Agreement upon your use of the SPE website or any of its online services.

b. In the unlikely event of a dispute, you agree the dispute will be governed and arbitrated by the laws, provisions and courts of the State of Ohio, USA.
