SPE Articles of Incorporation

Certificate of Incorporation of The Society For Photograhic Education, Inc.

Pursuant to the Membership Corporations Law

We, the undersigned, for the purpose of forming a membership corporation pursuant to the Membership Corporations Law of the State of New York, do hereby certify:

1. The name of the proposed corporation shall be The Society for Photographic Education, Inc.

2. The purpose for which it is to be formed is to promote high standards in photographic education, to foster and encourage the practice of the art of photography, to elevate public taste in photography and to cooperate with all other organizations having similar purposes. In furtherance thereof:

To encourage, support, take part in, and engage in any and all lawful activities, including without limitation, borrowing money, which may be necessary, appropriate, useful or proper for carrying out the purposes set forth above.

No substantial part of the activities shall be carrying out propaganda, or otherwise attempting to influence legislation, or participating in or intervening in (including the publishing or distributing of statements) any political campaign on behalf of any candidate for public office. No part of the net earnings shall inure to the benefit of any individual.

The corporation is organized solely for the furtherance of exempt charitable, scientific, literary and educational purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code of 1954, or any comparable section of the Internal Revenue Code as the same may be from time to time amended.

3. In the even of the liquidation, dissolution or winding up of the corporation whether voluntary, involuntary or by operation of law, except as it may be otherwise provided by law, the directors of the corporation shall have the power, subject to the control of a court of competent jurisdiction, to dispose of the total assets of the corporation in such manner as they may by a majority vote determine; provided, however, that such disposition shall be calculated exclusively to carry out the purposes for which the corporation is formed.

4. The territory in which its operations are prinicipally to be conducted is in the Country of Monroe, State of New York and nearby communities.

5. The principal office of the corporation will be located in the City of Rochester, Monroe County, New York.

6. The number of its directors shall not be less than five (5) nor more than twenty-one (21). The directors of the corporation need not be members of the corporation. The names and residences of the directors until the first annual meeting are:

7. All of the subscribers of this certificate are of full age; and at least two-thirds of them are citizens of the United States of America and residents of the State of New York, and of the persons named as directors at least one is a citizen of the United States and a resident of the State of New York.
